License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you ("you", "Licensee", "Customer") and PrivatePlayHub ("we", "us", "Licensor") for the PrivatePlayHub video streaming CMS software, including all accompanying source code, binaries, documentation, and updates (the "Software").
1. Grant of License
Subject to your compliance with this EULA and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and run one (1) copy of the Software on one (1) domain per license key, solely for the purpose of hosting your own lawful video content.
2. Permitted Use
You may:
- Install and run the Software on servers you control;
- Use the Software to host video content for which you own or have obtained all necessary rights;
- Modify configuration files (e.g.
.env, themes) for your own deployment; - Make backup copies of the Software for archival purposes.
3. Prohibited Use
You may not:
- Resell, sublicense, redistribute, or transfer the Software or any license key to any third party;
- Remove, alter, or circumvent the license validation, phone-home, or entitlement-enforcement mechanisms;
- Reverse engineer, decompile, or disassemble the license module, except to the extent applicable law prohibits this restriction;
- Use the Software to host content you do not own or do not have the rights to distribute;
- Share license keys across multiple domains or servers beyond the install limit of your plan;
- Use the Software for any unlawful purpose in your jurisdiction.
4. License Validation & Phone-Home
The Software periodically contacts our license server to validate your license and receive entitlements. This communication includes your install id, domain, a hash of your server's hardware fingerprint, and anonymous usage counts. We do not collect, transmit, or store your video content. Your videos remain entirely on your server. If the license server is unreachable, the Software continues to operate for a limited offline grace period, after which playback is disabled until the server is reachable again.
5. Revocation
We may revoke your license immediately if you breach this EULA, if we detect key sharing or piracy of the Software, or if your install is used to host content that infringes third-party rights (per our DMCA policy). On revocation, the Software enters a locked state and playback is disabled.
6. Intellectual Property
The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to our trademarks or trade names.
7. No Warranty
The Software is provided "AS IS" without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free or uninterrupted.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, data, or profits, arising out of your use of or inability to use the Software, regardless of the theory of liability. Our total liability under this EULA shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
9. Termination
This EULA terminates automatically if you breach any term. On termination, you must cease using the Software and destroy all copies. Provisions that by their nature should survive termination (intellectual property, warranty disclaimer, limitation of liability) shall survive.
10. Governing Law
This EULA is governed by the laws of the jurisdiction in which PrivatePlayHub operates, without regard to conflict-of-law principles.
11. Content Responsibility & DMCA
You are solely responsible for all content you host using the Software. We provide software only, not content. You must own or have obtained all necessary rights to any content you distribute. We will revoke licenses used to host infringing content upon receipt of a valid DMCA notice. DMCA notices may be sent to support@privateplayhub.com.
12. Changes to this EULA
We may update this EULA from time to time. Continued use of the Software after changes constitutes acceptance of the revised terms.
